[NEWS] Coincheck files registration statement with SEC for Nasdaq listing, aiming to go public by September

Progress toward Nasdaq listing

On the 8th, domestic cryptocurrency exchange Coincheck and THCP (Thunder Bridge Capital Partners Ⅳ, Inc.) announced that they have submitted a draft registration statement to the SEC (U.S. Securities and Exchange Commission) in preparation for a listing on the Nasdaq in the U.S. following their business integration, which has been in the works for some time.

If approved by the SEC, the company will be listed on the Nasdaq.

The company that will be merging with THCP is CCG (Coincheck Group B.V.), which will become an equity company of Coincheck. The merger is scheduled to be completed between April and September of this year, following approval by THCP shareholders. After the SEC approves the registration statement, the merged company will be listed on the Nasdaq. The ticker symbol at the time of listing will be "CNCK."

According to the announcement, after the business integration between CCG and THCP is completed, CCG's name will be changed to "Coincheck Group N.V." Coincheck will also be based in the Netherlands and will become a wholly owned subsidiary of CCG.

THCP is a special purpose acquisition company (SPAC) established for the purpose of mergers and acquisitions. Coincheck announced a business integration with THCP in March 2022 and aimed to list on the Nasdaq. The business integration and Nasdaq listing were subsequently postponed in July last year, but this announcement appears to have made progress.

Concerns had been growing over Coincheck's Nasdaq listing, including the impact of the collapse of cryptocurrency exchange FTX in 2022, but Dai Matsumoto, Chairman and CEO of Monex Group, said he believed there would be no such impact.
