Anthropic May Release IPO Prospectus by the 23rd, Finalizing Steps for November Listing

Final Steps Toward November Listing

It has been revealed that Anthropic, the U.S. company developing the conversational AI 'Claude,' is expected to publicly file its IPO prospectus (S-1) as early as the 23rd of this month, U.S. time. Yahoo Finance reported this on the 21st, citing three individuals familiar with the plan.

Anthropic has refrained from commenting on the timing of the prospectus filing.

Anthropic is a U.S. AI company developing the conversational AI 'Claude.' The company announced on June 1st of this year that it had submitted a draft prospectus confidentially to the SEC (U.S. Securities and Exchange Commission).

According to SEC regulations, companies that file confidentially must make their documents public at least 15 days before starting investor presentations (roadshows). Therefore, this public filing is considered the last major step toward the November listing.

Meanwhile, the timing of the prospectus release has been repeatedly postponed, with previous expectations set for 'late September' and 'mid-October.' In September, the Wall Street Journal reported that the listing target was shifted to November to include third-quarter performance.

Potential to Become One of the Largest IPOs in History

There is significant attention on the scale of Anthropic's upcoming IPO. According to Wall Street estimates, the company's valuation could reach approximately $2 trillion (about ¥315 trillion), with potential fundraising up to $100 billion (about ¥15.7 trillion), making it one of the largest IPOs in history if realized.

Additionally, the Wall Street Journal reports that the draft prospectus reveals the company's financial details. In the first half of 2026, revenue was $16.3 billion (about ¥2.5 trillion), with a net loss exceeding $80 billion (about ¥12.5 trillion). Furthermore, according to the Financial Times, Anthropic informed investors last week that its third-quarter revenue expanded from $11.5 billion (about ¥1.8 trillion) in the previous quarter to $16.8 billion (about ¥2.6 trillion), achieving adjusted profitability.

Interest is growing regarding whether massive investments will continue in AI-related stocks, as evidenced by Meta's announcement on the 21st to raise the lower limit of its annual capital investment forecast. Once the prospectus is released, Anthropic's financial details, which have so far been based on reports, will be officially disclosed for the first time. The company's financial disclosure could serve as a benchmark for measuring the profitability of AI investments.

However, the filing timeline is based on information from anonymous sources and may be subject to further delays.
